CD BABY ARTIST AGREEMENT TERRITORY SPECIFIC PUBLISHING SUB-ADDENDUM

If you are a resident of Australia or New Zealand the terms and conditions contained within this Territory Specific Publishing Sub-Addendum (“Addendum”) shall supplement the Publishing Administration Addendum of the CD Baby Artist Agreement as of November 4, 2014 (“Head Agreement”) and shall apply to you. The terms and conditions of the Head Agreement continue with respect to you, however, in the event of any inconsistency with the terms and conditions of the Head Agreement and the terms and conditions contained within the Addendum, the terms and conditions contained within the Addendum shall prevail. If you do not agree to all the terms and conditions contained within this Addendum, do not proceed with registration to use the Publishing Services.

All capitalized terms not defined herein shall have the same meaning as set out in the Head Agreement.

This Addendum serves to supplement, replace, and/or amend the following terms and conditions within the Head Agreement, in accordance with the below.

• (a) Agreement
  These terms and conditions form a binding agreement between you and Audio and Video Labs, Inc. dba CD Baby (“CD Baby” or “us”).
• (b) Letter of Confirmation
  In regard to registrations with PROs in Australia, New Zealand, and Papua New Guinea (e.g. with APRA AMCOS), CD Baby will provide you with a Letter of Confirmation, confirming the relationship between the Writer and CD Baby.
• (c) Grant of Rights
  For the avoidance of doubt, the assignment of copyright to CD Baby is subject to any assignment of rights to the Australian Performing Right Association (“APRA”) or an affiliated performing right society, including any performing rights granted to APRA or an affiliated performing right society.

SUISA

All authorizations granted in this agreement are subject to the exclusive transfer of rights to SUISA, which has taken place before signing this agreement.
